These Terms of Service ("Terms") govern your access to and use of InvoiceFollow ("we," "our," "us," or "the Platform"). By accessing or using InvoiceFollow, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.
1. Eligibility and Account Responsibilities
1.1 Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding agreements to use InvoiceFollow. By using our services, you represent and warrant that you meet these requirements.
1.2 Account Creation
To use InvoiceFollow, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
1.3 Account Security
You must immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.
2. Acceptable Use
You agree to use InvoiceFollow only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the platform in any way that violates applicable laws or regulations
- Send spam, unsolicited messages, or engage in any form of harassment
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Interfere with or disrupt the operation of the platform or servers
- Attempt to gain unauthorized access to any portion of the platform
- Use automated systems to access the platform without our express written permission
- Transmit any viruses, malware, or other harmful code
- Collect or harvest information about other users
- Use the platform to send messages that are fraudulent, deceptive, or misleading
3. User Responsibility for Consent and Compliance
You are solely responsible for obtaining all necessary consents and authorizations from your customers before sending SMS or email messages through InvoiceFollow.
You must comply with all applicable laws and regulations governing electronic communications, including but not limited to:
- The Telephone Consumer Protection Act (TCPA) and related regulations
- The CAN-SPAM Act and similar email regulations
- State and local laws governing automated communications
- International laws and regulations applicable to your jurisdiction
You represent and warrant that:
- You have obtained proper consent from all recipients before sending messages
- All messages sent through the platform comply with applicable laws
- You will honor all opt-out requests promptly
- You will not use the platform to send promotional marketing messages without proper consent
We are not responsible for your failure to obtain proper consent or comply with applicable laws. You agree to indemnify and hold us harmless from any claims, damages, or liabilities arising from your use of the platform in violation of these requirements.
4. No Spam or Unlawful Use
InvoiceFollow is designed for transactional and operational communications, including invoice reminders, billing notifications, account-related messages, and service-related notifications. You may not use the platform to send:
- Unsolicited promotional or marketing messages without proper consent
- Messages that violate applicable anti-spam laws
- Messages containing false, misleading, or deceptive content
- Messages that infringe on the rights of others
- Messages that are harassing, abusive, or threatening
We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you are using the platform in violation of this section.
5. Third-Party Services
InvoiceFollow integrates with third-party service providers, including:
- SMS delivery providers (such as Twilio)
- Email delivery services
- Payment processors
- Hosting and infrastructure providers
- Analytics and monitoring services
Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, performance, or actions of third-party services. We do not guarantee that third-party services will be available at all times or error-free.
6. Fees and Payments
Access to InvoiceFollow may require payment of fees as specified in your subscription plan or service agreement. You agree to pay all fees associated with your use of the platform.
Fees are billed in advance on a recurring basis (monthly or annually) unless otherwise specified. All fees are non-refundable except as required by law or as expressly stated in your service agreement.
We reserve the right to change our fees at any time. We will provide notice of any fee changes, and your continued use of the platform after such notice constitutes acceptance of the new fees.
If payment is not received or fails, we may suspend or terminate your account and access to the platform.
7. Service Availability
We strive to provide reliable service but do not guarantee that InvoiceFollow will be available at all times or error-free. The platform may be unavailable due to:
- Scheduled maintenance
- Unscheduled maintenance or repairs
- Technical failures or outages
- Third-party service disruptions
- Force majeure events
We are not liable for any damages or losses resulting from service unavailability or interruptions.
8. Disclaimers
INVOICEFOLLOW IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
We do not warrant that:
- The platform will meet your specific requirements
- The platform will be uninterrupted, timely, secure, or error-free
- The results obtained from using the platform will be accurate or reliable
- Any errors in the platform will be corrected
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INVOICEFOLLOW, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
10. Indemnification
You agree to indemnify, defend, and hold harmless InvoiceFollow, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the platform
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Your failure to obtain proper consent from message recipients
- Any content or messages you send through the platform
- Your infringement of any third-party rights
11. Termination
11.1 Termination by You
You may terminate your account at any time by contacting us at support@invoicefollow.io or through your account settings.
11.2 Termination by Us
We may suspend or terminate your account and access to the platform immediately, without prior notice, if:
- You violate these Terms
- You engage in fraudulent, illegal, or harmful activities
- You fail to pay required fees
- We determine, in our sole discretion, that your use of the platform poses a risk to us or other users
11.3 Effect of Termination
Upon termination, your right to use the platform will immediately cease. We may delete your account data and information, subject to our data retention policies and legal obligations. You remain responsible for all fees incurred prior to termination.
12. SMS Program Terms
This section applies specifically to SMS messaging features provided through InvoiceFollow.
12.1 Types of Messages
InvoiceFollow enables businesses to send transactional and service-related SMS notifications, including:
- Invoice reminders and billing notifications
- Account-related notices and updates
- Service-related operational messages
- Payment confirmations and transaction alerts
These messages are intended to be transactional and operational in nature, not promotional marketing communications.
12.2 Message Frequency
Message frequency varies depending on your use of the platform and the communication preferences you configure. Messages are sent based on your settings, including invoice due dates, payment reminders, and account notifications.
12.3 Message and Data Rates
Message and data rates may apply. Standard message and data rates charged by your mobile carrier will apply to SMS messages sent and received. InvoiceFollow is not responsible for any charges incurred from your mobile carrier.
12.4 Opt-Out Instructions
Recipients can opt out of receiving SMS messages at any time by replying STOP to any message. After sending STOP, the recipient will receive a confirmation message, and no further messages will be sent unless the recipient opts back in.
To opt back in, recipients may need to contact the business directly or follow the instructions provided in the confirmation message.
12.5 Help Instructions
Recipients can request help at any time by replying HELP to any message. They will receive information about how to opt out and how to contact support.
For additional support, recipients can contact the business that sent the message or reach out to InvoiceFollow support at support@invoicefollow.io.
12.6 Consent and Authorization
Consent for SMS messaging is obtained by the business using InvoiceFollow, not directly by InvoiceFollow in all cases. The business using the platform is responsible for ensuring it has obtained proper consent from message recipients before sending SMS messages.
Businesses using InvoiceFollow must:
- Obtain express written consent from recipients before sending SMS messages
- Clearly disclose that message and data rates may apply
- Provide clear opt-out instructions
- Honor all opt-out requests promptly
- Comply with all applicable laws, including the TCPA
InvoiceFollow is not responsible for verifying that businesses have obtained proper consent. Businesses are solely responsible for ensuring compliance with all applicable consent and messaging requirements.
12.7 Supported Carriers
SMS messages are delivered through third-party communication providers and are subject to carrier availability and limitations. Not all carriers may be supported, and message delivery is not guaranteed.
13. Intellectual Property
The InvoiceFollow platform, including its design, features, functionality, and content, is owned by InvoiceFollow and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the platform without our express written permission.
You retain ownership of any content or data you provide to the platform. By using InvoiceFollow, you grant us a license to use, store, and process your content as necessary to provide our services.
14. Changes to These Terms
We may modify these Terms at any time. We will notify you of any material changes by:
- Posting the updated Terms on this page
- Updating the "Last Updated" date
- Sending an email notification to the address associated with your account (for material changes)
Your continued use of InvoiceFollow after any changes to these Terms constitutes acceptance of those changes. If you do not agree to the modified Terms, you must stop using the platform and terminate your account.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or your use of InvoiceFollow shall be resolved in the courts of [Jurisdiction].
